Registering a legal entity or sole proprietor in Armenia

FIAK · For business

A business may be registered within one day, but a sound start involves more than an entry in the register. The legal form, tax regime and founding documents should be chosen and prepared in advance.

Sole proprietor, LLC or JSC

A sole proprietor acts in their own name and bears personal property liability. An LLC is a separate legal person and is usually more suitable for partners, investment, employees and separating business risk. A JSC is designed for a share-based structure, issuing shares and attracting a wider investor base. The decision should reflect liability, governance, taxation and future plans.

Documents required

  • For a sole proprietor: identity document, public services number or relevant certificate, registration/residential and business addresses, and contact details.
  • For an LLC: founder’s decision or meeting minutes, charter, director details, registered address, and participant identification details.
  • For a JSC: founders’ decision or meeting minutes, charter, and share and governance details.
  • Foreign documents may need legalisation or an apostille and a duly certified Armenian translation.

Two registration options

01

In person or online

A founder may apply at a State Register service office or use the electronic system with the required identification and e-signature tools. Standard-form documents may allow immediate registration.

02

Remotely through FIAK

If the founder is outside Armenia or prefers not to handle the procedure personally, we prepare the documents in advance. With a properly executed power of attorney and the required originals and translations, we file the package and follow it through registration.

Timing and state fees

Sole proprietor registration is generally completed when the documents are submitted. A commercial entity must be registered within one business day, or within two business days where a founder is a legal entity. No state fee is charged for the initial registration of an ordinary commercial entity. The state fee for a sole proprietor is AMD 3,000. Foreign founders and special legal forms may involve other charges, plus translation, notarisation or apostille costs.

After registration: the first tax step

A taxpayer identification number is assigned automatically. Where the business qualifies for turnover tax or the micro-entrepreneurship regime, the relevant application must be filed by the 20th day following registration. Missing the deadline generally places the business under the standard tax regime. The choice should be made before the first transactions, considering activity, turnover, expenses and customers.

Other practical steps

  1. 01Open a bank account and arrange online banking.
  2. 02Obtain access to electronic reporting and an e-signature.
  3. 03Arrange a cash register or electronic invoicing where applicable.
  4. 04Register employees before they start work.
  5. 05Obtain any required licence, permit or notification.
  6. 06For a legal entity, file the beneficial ownership declaration as required by law.
